LLCs Now Recognized as Nonprofits Under Ohio Law

Jeff Fanger Instrumental in This, Other Changes with Secretary of State

A new major benefit to non-profit organizations in Ohio was enacted when House Bill 160 became law in June. Under the new provisions, Ohio now will recognize the formation of nonprofit Limited Liability Companies, avoiding the increased costs and reporting requirements of a corporation in order to gain corporate protections.

Fanger & Associates LLC is very pleased to have been involved in the development of this new law both through Jeff Fanger’s involvement on the Ohio State Bar Association’s Corporate Law Committee and as liaison to the Ohio Secretary of State from the State Bar Association. He spent numerous hours in discussions with the Ohio Secretary of State Jennifer Brunner and her staff regarding the importance of this change and the need for this recognition.

The bill also contains information about new probate changes and changes to the disclaimer provisions of the trust code. The new law became effective June 20, 2008; for a full text of the bill please see: http://www.legislature.state.oh.us/bills.cfm?ID=127_HB_160

If you have questions about how this change may benefit your organization email Fanger & Adelman, LLC or call us at 216-479-6820.

Mr. Fanger continues to work with the Ohio Secretary of State's office on future developments regarding Ohio trademarks, grandfathering provisions and form development for easier filings and other important issues affecting Ohio's business and nonprofit community.
